End User License Agreement

1. Definitions

As used in this EULA:

"Software" means the Signal Loom Free Scan scanning engine, CLI tools, browser extensions, cloud connectors, agents, scripts, APIs, and any associated documentation provided by Signal Loom, Inc. in connection with the Free Scan service.

"License" means the limited, non-exclusive, non-transferable, revocable right granted herein to use the Software.

"Authorized Environment" means the specific systems, networks, cloud accounts, or identity directories that you own or for which you hold express written authorization to scan.

"Output" means reports, findings, inventories, and data generated by the Software in connection with a scan.

2. License Grant

Subject to your compliance with this EULA and the Terms of Service, Signal Loom, Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Download, install, and execute the Software solely within your Authorized Environment; and

Use Output for your internal security assessment and remediation purposes only.

This License does not permit you to use the Software in a production, commercial, or managed-service capacity beyond the Free Scan evaluation context. Upgrading to a paid plan is required for production deployment.

3. License Restrictions

You expressly agree not to:

Reverse-engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, or detection methodologies of the Software.

Copy, redistribute, sublicense, sell, rent, lease, or otherwise transfer the Software or any rights therein to any third party.

Modify, adapt, translate, or create derivative works based on the Software.

Remove, alter, or obscure any proprietary notices, labels, or marks in or on the Software.

Use the Software to build a competing product or service, or to benchmark the Software for public comparison without Signal Loom, Inc.'s written consent.

Use the Software in violation of any applicable law or regulation, including laws governing unauthorized computer access or data protection.

Install or execute the Software on systems outside your Authorized Environment.

4. Ownership

The Software and all copies thereof are proprietary to Signal Loom, Inc. and title thereto remains with Signal Loom, Inc. Signal Loom, Inc. retains all intellectual property rights in the Software, including any improvements, enhancements, or modifications, even if developed in response to your feedback.

You acknowledge that no title or ownership of the Software is transferred to you under this EULA. Your rights in the Software are limited solely to the License granted in Section 2.

5. Open Source Components

The Software may incorporate open source software components, each of which is subject to its own license terms. Signal Loom, Inc. will make available a list of material open source components and their corresponding licenses upon request. Nothing in this EULA limits rights granted under applicable open source licenses.

6. Feedback

If you provide Signal Loom, Inc. with suggestions, ideas, enhancement requests, bug reports, or other feedback regarding the Software ('Feedback'), Signal Loom, Inc. shall have a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, create derivative works of, distribute, and otherwise exploit such Feedback for any purpose, without any obligation of confidentiality, compensation, or attribution to you.

7. Updates and Changes

Signal Loom, Inc. may release updates, patches, or new versions of the Software. Unless accompanied by a separate license, such updates are governed by this EULA. Signal Loom, Inc. is under no obligation to provide updates or to maintain backward compatibility.

Signal Loom, Inc. may discontinue the Free Scan or require you to upgrade to a paid subscription to continue using any component of the Software, at any time and without liability.

8. Audit Rights

Upon reasonable notice (not less than five (5) business days), Signal Loom, Inc. reserves the right to audit your use of the Software to verify compliance with this EULA. You agree to cooperate with such audit and to provide access to records and systems reasonably necessary to confirm compliance. Any audit shall be conducted during normal business hours and in a manner that minimizes disruption to your operations.

10. Limitation of Liability

Nothing in this EULA excludes or limits Signal Loom, Inc.'s liability where such exclusion or limitation is not permitted under mandatory applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot lawfully be excluded. For users in the European Economic Area, the United Kingdom, or France, the limitations and disclaimers in Sections 9 and 10 apply only to the extent permitted by the mandatory law of the user's country of habitual residence or establishment and do not affect any statutory rights that cannot be waived by agreement.

11. Term and Termination

This EULA is effective from the date you first use the Software and continues until terminated. Signal Loom, Inc. may terminate this EULA immediately if you breach any provision. Upon termination: (a) all License rights immediately cease; (b) you must cease all use of the Software and destroy all copies in your possession; and (c) Sections 4, 6, 9, 10, 12, and 13 shall survive termination.

12. Export Compliance

You agree to comply with all applicable export control laws and regulations, including the U.S. Export Administration Regulations (EAR) and the sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC). You represent that you are not located in, and will not use the Software in, any country subject to U.S. embargo or sanctions, and that you are not on any U.S. government denied-party list.

13. General

This EULA shall be governed by the laws of the State of Delaware without regard to conflict-of-law rules. This EULA constitutes the entire agreement between you and Signal Loom, Inc. with respect to the Software and supersedes all prior agreements, negotiations, and representations. If any provision is unenforceable, it shall be modified to the minimum extent necessary and the remainder shall remain in effect. Signal Loom, Inc.'s failure to enforce any provision is not a waiver. The foregoing choice of law applies only to the extent permitted by mandatory applicable law and does not deprive any user of the protection of provisions that cannot be derogated from by agreement under the law that would otherwise apply. For users in the European Economic Area, the United Kingdom, or France, nothing in this EULA overrides any mandatory right to rely on the law of, or to bring or defend proceedings in the courts of, their country of habitual residence or establishment where such right cannot lawfully be excluded.
